Provides cross-border IPO readiness and capital-markets consulting to Japanese private companies pursuing U.S. listings, with related M&A and digital-securities consulting. Revenue is engagement-based, combining cash fees with client equity rights, while the business operates outside regulated broker-dealer, investment, legal and accounting roles.
Provides Go IPO, a readiness and project-support service for private Japanese companies pursuing U.S. listings. Work spans introductions to professional firms, internal-control documentation, accounting-data conversion to U.S. GAAP, English translation, S-1/F-1 preparation assistance, listing support, web pages and investor decks. Newer activities include M&A advisory and Higgs Field consulting for self-offered corporate bonds and similar digital securities in Japan.
Sources clients through securities firms, legal and accounting advisers, financial consultants, referrals, seminars and targeted outreach, then establishes longer-term advisory engagements. Fees combine cash installments with client warrants or stock-acquisition rights. Delivery depends on clients’ readiness and selected law firms, underwriters and auditors; advisory roles exclude securities solicitation, negotiation, investor screening, due diligence, valuation, investment, legal and accounting advice. Broader digital-securities activity remains subject to Japanese regulatory approval.
