Operates under Yorkville sponsor control, with its chief executive also serving as chief financial officer and officers holding outside roles at affiliated acquisition vehicles. A completed transaction depends on post-redemption trust proceeds, any additional debt, equity, PIPE, or working-capital financing, shareholder approvals, and continued Nasdaq and Cayman Islands compliance. Without a completed combination or shareholder-approved extension, public shares must be redeemed and the company liquidated.
