(Nasdaq: ZNTL) (“Zentalis” or the “Company”), a clinical oncology innovator advancing late-stage development of an investigational, potentially first-in-class WEE1 inhibitor, azenosertib, as a biomarker-driven treatment approach for ovarian cancer, today announced that it has closed its previously announced underwritten public offering of 26,450,000 shares of its common stock, including 3,450,000 shares sold pursuant to the underwriters' full exercise of their option to purchase additional shares. The shares of common stock were sold to the public at a price of $3.50 per share. The total gross proceeds to the Company from the offering, before deducting underwriting discounts and commissions and offering expenses, were approximately $92.6 million. All of the shares of common stock sold in the public offering were sold by the Company.

The total gross proceeds to the Company from the offering are expected to be approximately $80.5 million, before deducting underwriting discounts and commissions and offering expenses payable by the Company. All of the common stock is being offered by the Company. The offering is expected to close on August 17, 2026, subject to customary closing conditions.
